General Information

On July 2, 2026, the Circuit Court of the State of Oregon for Multnomah County, in the matter of In re DWFritz Automation, LLC, et al., Case No. 26CV34357, entered an Order Appointing Receiver (the "Order") appointing Newpoint Advisors Corporation (the "Receiver") as receiver for DWFritz Automation, LLC, Precision Automation and Metrology Holdings LLC, DWF Automation Inc., and DW Energy LLC (collectively, the "Companies"). The receivership covers the Companies' leasehold interest in the property located at 9600 Boeckman Road, Wilsonville, Oregon, along with associated equipment, inventory, accounts, intellectual property, and other business assets (the "Assets"). This receivership was brought voluntarily by the Companies themselves under the Oregon Receivership Code, ORS 37.010 et seq., based on their current financial condition and the risk to their assets and creditors' interests. It is a state-court equitable proceeding, distinct from a bankruptcy or a federal receivership. The Receiver is an agent of the Court appointed to administer and, where appropriate, liquidate the Companies' assets. The Receiver does not represent the Companies or their principals and has been appointed as a neutral, impartial third party.

Since the Receiver's appointment, the Receiver has been working diligently to secure the Companies' property, review the Companies' books and records, and communicate with employees, vendors, and customers regarding the receivership and its effect on ongoing operations.

As set forth in the Order, the entry of the receivership operates as an automatic stay under ORS 37.220. Among other things, this prohibits all persons from commencing or continuing actions against the Companies' property, enforcing judgments against that property, or interfering with or hindering the Receiver's possession of or control over the Estate.

 

Any sale of assets outside the ordinary course of business, any determination of creditors' claims, and any distribution to creditors remains subject to Court approval after notice and an opportunity for hearing.

The Order authorizes the Receiver, in its discretion, to request that the Court establish a claims procedure under ORS 37.360 for creditors to assert claims against the Companies. Separately, the Order requires the Receiver to mail notice of the receivership to all known creditors and interested persons no later than 30 days after the date of appointment.
